- • Unused Sparks may expire according to your subscription plan
- • Spark consumption rates are subject to change with 30 days' notice
- • No refunds are provided for unused or expired Sparks
- • Additional Sparks may be purchased according to our current pricing

We process user data in accordance with our Privacy Policy and applicable data protection laws, including GDPR. By using our Services, you acknowledge that:

- • Data processing occurs in secure, enterprise-grade infrastructure

8. Enterprise and Educational Institution Terms
For enterprise customers and educational institutions:

- • FERPA compliance measures are available for educational institutions
- • Single Sign-On (SSO) and advanced security features may be required
- • Data Processing Agreements (DPAs) are available upon request
- • Service Level Agreements (SLAs) may be negotiated separately
9. Intellectual Property Rights
The Services and their original content, features, and functionality are owned by Happy Alien and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of any educational content you create using our Services, while Happy Alien retains ownership of the underlying AI technology and platform.
10. Service Availability and Modifications
We strive to maintain high service availability but do not guarantee uninterrupted access. We reserve the right to:
- • Modify or discontinue any part of the Services with reasonable notice
- • Perform scheduled maintenance that may temporarily limit access
- • Update AI models and algorithms to improve service quality
- • Implement new features or change existing functionality
11. Payment Terms and Billing
Payment terms for subscription services:
- • Subscription fees are billed in advance on a recurring basis
- • All fees are non-refundable unless otherwise specified
- • Price changes require 30 days' advance notice
- • Failed payments may result in service suspension
- • Enterprise customers may negotiate custom billing terms
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAPPY ALIEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Upon termination, your right to use the Services will cease immediately. You may delete your account at any time by contacting our support team.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware or through binding arbitration as mutually agreed.
